What this Agreement is about

Ajaccts Software Limited provides web-based bookkeeping and tax filing services. These services are provided via the Ajaccts software that is accessed at Ajaccts

This agreement describes how you may use the Ajaccts software. This agreement is made up of these terms and conditions and our Privacy Policy. We may change the terms and conditions of this agreement and our Privacy Policy at any time. We will make reasonable efforts to communicate any changes to you via email, but it is up to you to ensure that you read, understand and agree to the most recent version of this Agreement and our Privacy Policy on our website.

Who this Agreement is between

This agreement is between: You, the person or organisation authorised to use Ajaccts; and We/Us, Ajaccts Software Limited. By entering into this agreement, we both agree to be bound by and keep to it.

How you accept this Agreement

You accept the terms and conditions of this agreement, and this agreement starts from when you first login to Ajaccts using the credentials we have given you. If you accept this agreement and pay the relevant fees (where applicable), we give you the right to use Ajaccts in the way described in this agreement. This agreement will continue until terminated in accordance with Ending. If you do not accept this agreement, you should not use Ajaccts.

Your rights and your obligations under this Agreement

We grant you the right to use the Ajaccts for the purpose of managing your business accounting and tax records, and filing with HMRC and Companies House.

You must only use the Ajaccts for the purpose of managing your business accounting and tax records, and filing with HMRC and Companies House.

You must not use Ajaccts in any other way. Explicitly :

• You must not introduce or try to introduce viruses or harmful technology into Ajaccts software;
• You must not attempt to gain unauthorised access to Ajaccts
• You must not give anyone else access to the Ajaccts, unless you have written authority from us to do so;
• You must not share the username and password that you are given to use Ajaccts with other people
• You must not attempt to affect the availability of Ajaccts to other users;
• You must not use any software components from Ajaccts to develop your own software

A reliable network connection is required between Your computer and the Ajaccts website. You are solely responsible for obtaining and maintaining your network and Internet connection.

Our promises under this Agreement

Our promises are :-

• We will take reasonable steps to make sure that Ajaccts is free from viruses but we cannot guarantee this. We recommend that you use your own virus-protection software as we will not be responsible for any loss or damage caused by any viruses or other harmful technology that may infect your computer systems, data or other material owned by you.
• We will use our reasonable skill and care to provide any service to you under this agreement.
• We will make reasonable efforts to provide support to you. This support is provided Monday-Friday 9AM to 9PM. We provide this by telephone, email. For email use Support

We aim to provide uninterrupted use of Ajaccts, but unfortunately we cannot promise this. Some interruptions may be caused by reasons outside our control and in such circumstances, we will not be responsible for any failure to perform our obligations in this agreement, and we will be excused from that failure for so long as those circumstances continue. From time to time we may suspend access to Ajaccts, for maintenance, repairs or other reasons.

If we become aware that there is an issue with Ajaccts which affects you, we may contact you to discuss the steps required to try to remedy that issue. You agree to provide reasonable assistance in helping us remedy that issue.

We do not promise:

• that Ajaccts will be compatible with your web browser or your computer;
• that Ajaccts will meet your own needs;
• that, where you use our Support services, we will be able to fix your problem or remedy your issue.

Our liabilities under this Agreement

Our liabilities and responsibilities under this agreement are reasonable because they reflect that although we follow good industry practice, it is not economically possible for us to carry out all the tests necessary to make sure that Ajaccts Software is problem or error free.

Our liabilities to you under this this agreement will be limited to paying you an amount which is equal to the total of all fees you have paid to us for your use of Ajaccts Software during the 12 month period immediately preceding the date on which the claim arose.

Nothing in this agreement will exclude or limit our liability for:

• fraud;
• death of or personal injury to any person as a result of our negligence; or
• any other matter which cannot be excluded or limited under applicable law.

Your Personal Data and Business Data

The way we handle your Personal data is covered by our Privacy Policy.

The Business data that you input to Ajaccts remains owned by you, but your access to this data is dependent upon you complying with these terms and conditions.

We follow good industry practice to prevent data loss in the areas of

• firewalls
• secure configuration
• user access control
• malware protection
• patch management

However, we cannot guarantee that your information will not be lost or damaged. If you need copies of any information inputted into Ajaccts (or generated by it) you should keep a copy, as we cannot guarantee that your information will not be lost or damaged

Intellectual Property Rights

Although you have rights to use Ajaccts as described in this agreement, you do not own any of the intellectual property rights in Ajaccts. We continue to own the intellectual property rights in Ajaccts. The only rights you have to Ajaccts are as set out in this agreement.

This website and its publicly available content is copyright of Ajaccts Software Limited, 2020. All rights reserved. Any redistribution or reproduction of part or all of the public contents in any form is prohibited.

How this Agreement may be brought to an end

We may end this Agreement:

• immediately if we do not receive fees due to us under this agreement by the relevant due date; or
• at any time on giving you at least 30 days notice and if we do, we will refund to you any amounts you have paid in advance for the applicable subscription period calculated from the date of termination.

You may end this Agreement:

• at any time by sending us an email to Termination. You must immediately pay all amounts you owe to us.

No matter how this agreement ends, the information you store in Ajaccts remains your information and you can access it in a format provided by Ajaccts before the end of this agreement.

The laws that govern this agreement

This agreement is governed by the laws of England and you and we both agree that the courts of England will be the only courts that can decide on legal disputes or claims about this agreement.
